Colorado LLC status check

What keeps a Colorado LLC or corporation in good standing, what happens if a filing is missed, and how to check your status yourself. Taken from the official rules published by Colorado Secretary of State, Business and Licensing Division.

Check your Colorado status

On the state’s own site: open the official business search (Colorado Secretary of State, Business and Licensing Division). Search your exact registered name and read the status field.

Statuses you may see there include: Good Standing, Noncompliant, Delinquent.

The way a lender sees it: a lender’s system doesn’t just read your status — it matches your exact legal name, your filing, your domain and your email against each other. Run the same checks below.

Colorado calls it a Periodic Report, not an annual report. Same rules for LLCs and corporations. Status terms listed are only those named in SOS FAQs; the database shows others (e.g., dissolved/withdrawn) not confirmed here.

Missed it? What happens, and how to fix it

If a filing is missed

Missing the penalty-free window makes the status Noncompliant; a late report then carries a $50 late filing penalty. After 60 more days without filing, status becomes Delinquent (for example, a January report month becomes Noncompliant after March 31 and Delinquent about 60 days later).

Getting back in good standing

Statement Curing Delinquency — state fee $100 (online). Returns the entity to Good Standing. Delinquent name is held 400 days; on day 401 the name is changed to add 'delinquent' and the date. Delinquent 5+ years: affidavit and photo ID also required.

Why lenders check this before anyone reads your application

An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.

Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
