Missed it? What happens, and how to fix it

If a filing is missed

LLCs are delinquent June 16 of the odd-numbered year. Corporations are delinquent April 15 of the even-numbered year. After that date the entity is administratively dissolved (or a foreign entity's authority is revoked). Past report fees and interest may apply at reinstatement.

Getting back in good standing

Reinstatement (Late Reinstatement if inactive more than 5 years) — state fee Application for Reinstatement $30; Application for Late Reinstatement $500. Past report fees and interest may also apply.. File the reinstatement application with the missing report and fee by mail or in person; online filing is not available. Corporations must include the occupation tax report and fee. Foreign LLCs and voluntarily dissolved entities cannot reinstate. Status returns to Active.

Why lenders check this before anyone reads your application

An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.

Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
