Missed it? What happens, and how to fix it

If a filing is missed

LLC: no late fee for a standard LLC; the LLC's annual-report standing shows 'Not Good' until it files. Corporation: escalating late fee up to $75; a corporation that fails to file annual reports for two years is dissolved.

Getting back in good standing

LLC: Certificate of Restoration of Good Standing; Corporation: renewal of corporate existence — state fee LLC: $50 restoration fee plus $25 for each missing annual statement. Corporation renewal fee: not stated on official pages reviewed.. Corporations renew by filing all missing reports and paying fees; LARA's FAQ says existence is then renewed. An LLC must restore good standing before it can file a certificate of dissolution.

Why lenders check this before anyone reads your application

An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.

Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
