South Dakota LLC status check

What keeps a South Dakota LLC or corporation in good standing, what happens if a filing is missed, and how to check your status yourself. Taken from the official rules published by South Dakota Secretary of State.

Check your South Dakota status

On the state’s own site: open the official business search (South Dakota Secretary of State). Search your exact registered name and read the status field.

Statuses you may see there include: Good Standing, Delinquent, Administratively Dissolved.

The way a lender sees it: a lender’s system doesn’t just read your status — it matches your exact legal name, your filing, your domain and your email against each other. Run the same checks below.

SDCL 59-11-25 changes on Jan 1, 2027: entities will choose either their anniversary month or January 31 as the annual due date. The SOS annual report instructions page cites a $50 late fee while the fee schedule and FAQ say $55; $55 used here.

Missed it? What happens, and how to fix it

If a filing is missed

If the report is not filed within 2 months after the due date, the entity becomes Delinquent and a $55 late fee applies. An entity that stays delinquent may be Administratively Dissolved.

Getting back in good standing

Reinstatement (Application for Reinstatement Following Administrative Dissolution) — state fee LLC: $150; corporation: $300; plus delinquent annual reports and fees. Domestic entities must file late annual reports and, if for-profit, obtain a Tax Clearance Certificate from the SD Department of Revenue first. Foreign entities cannot reinstate; they must apply for a new Certificate of Authority.

Why lenders check this before anyone reads your application

An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.

Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
