Missed it? What happens, and how to fix it
If a filing is missed
$50 late filing penalty on top of the report fee; the SOS says it may not be waived. Continued failure leads to administrative dissolution (domestic) or revocation of authority (foreign). Corporations get 60 days after notice to cure (13-C §1421).
Getting back in good standing
Reinstatement (after administrative dissolution) — state fee $150 for failure to file annual reports, maximum $600 regardless of number of delinquent reports; separate $150 fees for other grounds (e.g. unpaid late penalty). Corporations may apply within 6 years after dissolution (13-C §1422); reinstatement relates back to the dissolution date. LLC reinstatement time limit not confirmed.
Why lenders check this before anyone reads your application
An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.
Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
