Missed it? What happens, and how to fix it
If a filing is missed
The SOS fee page lists $35 for a report filed after April 15. An entity that misses filings or fees can be placed in Involuntary Dissolution, which the SOS defines as administratively dissolved for missed filings and fees or for not keeping a registered agent. The official timeline was not found.
Getting back in good standing
Reinstatement — state fee LLC: $35 plus $35 for each delinquent annual report. Profit corporation: $30 plus $35 for each delinquent annual report.. Domestic LLCs and corporations can reinstate within 5 years of the dissolution date. They must file all missing annual reports plus a Reinstatement Application. Most also need a Title 15 tax certificate from the Department of Revenue (not needed for single-member LLCs not taxed as corporations). Foreign entities must requalify instead.
Why lenders check this before anyone reads your application
An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.
Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
