What New York requires to stay in good standing
| LLC | Corporation | |
|---|---|---|
| Filing | Biennial Statement | Biennial Statement |
| How often | Biennial | Biennial |
| When it’s due | Every two years, during the calendar month in which the LLC's articles of organization (or application for authority) were originally filed. Do not file before that month. | Every two years, during the calendar month in which the corporation's certificate of incorporation (or application for authority) was originally filed. | State fee | $9 | $9 |
| Annual tax tied to standing | Not a franchise tax, but LLCs that are disregarded entities or partnerships with NY-source income pay an annual filing fee on Form IT-204-LL to the Dept. of Taxation and Finance: $25 to $4,500, based on prior-year NY-source gross income. | Article 9-A corporate franchise tax filed with the NY Dept. of Taxation and Finance; the corporation pays the largest of the business income base, capital base, or fixed dollar minimum ($25 at the lowest receipts tier, up to $200,000). |
Missed it? What happens, and how to fix it
If a filing is missed
No late fee is stated. The Department of State's records show the entity as 'past due,' and any Certificate of Status will say so, which may block some business transactions. Separately, a corporation delinquent on tax returns or payments for two consecutive years can be dissolved by proclamation.
Getting back in good standing
Reinstatement following dissolution or annulment by proclamation (corporations). A past-due Biennial Statement can simply be filed late. For corporations dissolved by proclamation, file all returns and pay taxes, get Tax Department consent, then file with the Department of State (fee per DOS fee schedule).
Why lenders check this before anyone reads your application
An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.
Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
