Minnesota LLC status check

What keeps a Minnesota LLC or corporation in good standing, what happens if a filing is missed, and how to check your status yourself. Taken from the official rules published by Minnesota Secretary of State, Business Services.

Check your Minnesota status

On the state’s own site: open the official business search (Minnesota Secretary of State, Business Services). Search your exact registered name and read the status field.

Statuses you may see there include: Active, Inactive.

The way a lender sees it: a lender’s system doesn’t just read your status — it matches your exact legal name, your filing, your domain and your email against each other. Run the same checks below.

The annual renewal is free when filed on time; only reinstatement costs money. The LLC statute (322C.0213) could not be loaded, so LLC first-year timing and the exact LLC term (dissolution vs termination) were not verified. Status terms are the Active/Inactive search filter values.

Missed it? What happens, and how to fix it

If a filing is missed

There is no late fee. If the renewal is not filed during the calendar year, the entity is administratively dissolved and is no longer considered active in Minnesota until it is reinstated.

Getting back in good standing

Annual Reinstatement — state fee $85 online; $65 by mail (current SOS fee schedule). An entity inactive for more than six years cannot be reinstated online. Minn. Stat. 302A.821 says $25 for corporations, but the current SOS fee schedule lists $65/$85. Use the fee schedule.

Why lenders check this before anyone reads your application

An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.

Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
