Missed it? What happens, and how to fix it

If a filing is missed

LLCs: not filed by the due date puts the company in delinquent status; not filed within 60 days adds penalty status and a $100 late-filing penalty; not filed within 120 days of delinquency leads to administrative dissolution.

Getting back in good standing

Application for Reinstatement (LLC-35.40; corporations BCA-12.45) — state fee $200 for LLCs plus $100 for each year of delinquency after the first; $200 for corporations plus franchise taxes, penalties and interest. All missed annual reports (up to six years) and fees must be filed with the reinstatement. LLCs can file online.

Why lenders check this before anyone reads your application

An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.

Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
