| How often | - | Annual |
| When it’s due | No annual report. The SOS requires annual registration reports only from corporations, and its fee schedule lists no LLC annual report. | Corporations formed or qualified on or after July 1, 2003: due by the end of the month they incorporated or qualified. Missed it? What happens, and how to fix it
If a filing is missed
Corporations: extra $15 for each 30-day period late. Failure to file results in administrative dissolution of a domestic corporation after written notice; the corporation has 60 days to correct or explain.
Getting back in good standing
Rescission of Administrative Dissolution — state fee $55 basic reinstatement fee, plus past-due reports and fees. Corporations also need a Certificate of Tax Clearance from the Missouri Dept. of Revenue (valid 60 days) or proof of a payment plan, plus an originally signed application for rescission.
Why lenders check this before anyone reads your application
An automated know-your-business check compares what you put on an application against the state’s record. A status that isn’t active and in good standing, or a legal name that differs from your filing by a comma or a suffix, is a common silent reason for a decline.
Fixing your status costs nothing beyond the state’s own fees; you don’t need to pay anyone to do it for you.
